課程大綱

本課主要講授公司法的規定。相關的法律理論都會被介紹。學生將被指定閱讀教科書和法院判決。課堂參與是必要的。 This course teaches Company Act. Company Act covers procedural rules of incorporation, duties of a president, board members, or shareholders. Students will be assigned to read a textbook and several court decisions. Class participation is required.

1. Mid-term Exam: Multiple Choice: 65% 2. Term Presentation: 35% (1) Students are encouraged to focus presentation on legal aspects of corporate activities INSTEAD OF business management. (Unlike management courses that delve into organizational behavior or business strategy, this class emphasizes the legal principles, statutes, case law, and regulatory compliance that shape how corporations operate, make decisions, and interact with stakeholders.) The more legal aspects you mention, the higher your scores! (2) The leaders of every group will score higher. (3) Grading System: a. mid-term exam: 50% b. participation: 10% c. Term Presentation: 30% d. Reflection paper: 10%
